1. TERMS OF THIS AGREEMENT
1.1.1 This Agreement shall take effect for the initial Term on the Commencement Date and shall remain in force from year to year. It can be terminated at any time after the initial Term by either party giving written notice of at least ninety days before the next anniversary of the Commencement Date, in which the Agreement shall terminate on that anniversary date.

2. CHARGES AND PAYMENT
2.1 You shall pay the charges for the Initial Term to us on or before the Commencement Date. The Charges for the following years shall be paid annually in advance within 7 days after our invoice. We shall have no obligation to provide a service while any charges are due and unpaid.

2.2 At least one calendar month before each anniversary of the Commencement Date we will advise you of the charges for the following year and will invoice you for them. The charges may be subject to annual increase for which 30 days prior notice will be given and which, in the absence of any material alteration to the Agreement, will be no more then annual rate of inflation as determined by Retail Price Index.

2.3 Any charges incurred by you in addition to the annual charges are payable at our published rates at the time they incurred.

3. MAINTENANCE SERVICE
